Can I create different share classes for companies? How do I specify share class rights?

Our family company has multiple share classes - ordinary shares, preference shares, and growth shares. Each class has different voting rights, dividend entitlements, and capital distribution rights.

How do I set this up in StructureGram? And can I specify the rights for each share class like voting, capital entitlement, and dividends?

Yes, StructureGram fully supports multiple share classes with detailed rights!

Creating Share Classes

  1. Go to the Company detail page
  2. Find the Share Capital section
  3. Click Add Share Class
  4. Enter the class details:
    • Class Name: e.g., "Class A Ordinary", "Preference", "Growth"
    • Total Shares Issued: Number of shares in this class

Specifying Share Class Rights

For each share class, you can specify:

Voting Rights

  • Voting: Yes/No
  • Votes per Share: e.g., 1 vote, 10 votes, or weighted

Dividend Rights

  • Dividend Entitlement: Fixed rate, discretionary, or none
  • Priority: First, pari passu, or subordinated

Capital Rights

  • Capital Entitlement: Percentage or fixed amount
  • Return of Capital Priority: On winding up

On the Diagram

When you add shareholders, you specify:

  • Which share class they hold
  • Number of shares

The diagram shows ownership percentages calculated per class, and you can hover to see the share class details.

Example Setup:

  • Class A (Voting): 100 shares, full voting, discretionary dividends
  • Class B (Non-Voting): 1000 shares, no voting, discretionary dividends
  • Preference: 500 shares, no voting, 5% fixed dividend, priority capital return
