1. About These Terms

These Terms of Service (“Terms”) govern your use of StructureGram, a web-based application for managing entities and relationships with diagram generation (“Service”). By using our Service, you agree to these Terms.

StructureGram is operated by Syntaq Solutions Pty Ltd (ABN 78 623 223 889), a company registered in Australia (“we”, “us”, “our”).

2. Using Our Service

2.1 Eligibility

You must be at least 18 years old to use our Service. By using StructureGram, you confirm that you meet this requirement.

2.2 Your Account

To use StructureGram, you need to create an account. You are responsible for:

  • Keeping your login details secure
  • All activity that occurs under your account
  • Notifying us immediately if you suspect unauthorised access

2.3 Acceptable Use

When using our Service, you agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Upload malicious code or content
  • Interfere with other users’ access to the Service
  • Copy, modify, or distribute our software without permission
  • Use the Service in a way that could damage our reputation

2.4 Permissions for Data You Upload or Import

You are responsible for the data you upload, import, sync, create, or otherwise make available through the Service.

You warrant that:

  • You have all rights, permissions, consents, and authority needed to provide that data to StructureGram and to authorise us to process it for you
  • Your use of the Service in connection with that data complies with privacy, confidentiality, professional, contractual, and other legal obligations that apply to you
  • You will not upload, import, or share data you are not authorised to disclose to us

This includes data obtained from clients, counterparties, and third-party services such as Xero, Xero Practice Manager, ASIC, and similar providers.

2.5 Third-Party Services and Integrations

The Service may allow you to connect to, import from, export to, or exchange data with third-party services. Your use of those services remains subject to the third party's own terms, policies, and operational requirements.

We are not responsible for the acts, omissions, availability, security, interoperability, API changes, or data quality of third-party services. You are responsible for reviewing imported or synced data before relying on it.

2.6 No Professional Advice

StructureGram is a software tool only. It does not provide legal, accounting, tax, financial, or other professional advice, and you remain responsible for your own professional judgment and review of any data, diagrams, outputs, or reports.

3. Subscriptions and Payments

3.1 Free and Paid Plans

StructureGram offers both free and paid subscription plans. Details of features and pricing are available on our website and may change from time to time.

Pricing applies per tenancy (organisation). Each tenancy requires its own subscription. A tenancy represents a separate organisation with its own data, users, and workspace. If you need multiple organisations, each will require a separate subscription.

3.2 Payment Terms

For paid subscriptions:

  • Payments are processed securely through Stripe
  • Subscriptions automatically renew unless cancelled
  • You can cancel at any time through your account settings
  • Refunds are handled in accordance with Australian Consumer Law

3.3 Price Changes

We may change our prices with at least 30 days' notice. Price changes will apply from your next billing cycle after the notice period.

4. Your Data

4.1 Ownership

You own all the data you enter into StructureGram. We do not claim any ownership rights over your content.

4.2 Data Export

You can export your data at any time while your account is active. We recommend regular exports as a backup, particularly before requesting account deletion.

4.3 Data Deletion and Retention

If you confirm account deletion, we permanently delete your core account data and user content in our application promptly and without a recovery window. Deleted content cannot be restored.

We may retain limited records after deletion where reasonably necessary for security, fraud prevention, audit logging, billing, support, dispute resolution, enforcing these Terms, compliance with law, or meeting integration security and compliance requirements. 5. Organisations and Teams

5.1 Organisation Accounts

If you create or join an organisation on StructureGram, you may be subject to additional terms set by that organisation's administrator.

5.2 Administrator Rights

Organisation administrators can:

  • Add and remove team members
  • Access data created within the organisation
  • Manage subscription and billing for the organisation

6. Intellectual Property

StructureGram and its software, design, and content are owned by us or our licensors and are protected by intellectual property laws.

7. Limitation of Liability

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted, or modified.

Subject to the paragraph above and to the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, or for any loss of profits, revenue, goodwill, business opportunity, or data, arising out of or in connection with the Service or these Terms.

Subject to the paragraph above and to the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service or these Terms is limited to the subscription fees actually paid by the relevant account holder for the Service in the 12 months immediately preceding the event giving rise to the liability.

8. Termination

We may suspend or terminate your access to the Service if you breach these Terms or if we reasonably believe your use poses a risk to the Service or other users.

9. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will provide notice as required by law.
